1. Protection of Personal Information 1.1 In British Columbia, Canada, the Personal Information Protection Act (BC) (“PIPA”) governs how private organizations may collect, use and disclose personal information. As a private organization subject to PIPA, Executrend recognizes the importance of privacy and recognizes the sensitivity of personal information received by us in the course of offering our services at the Hirebreed.com website (the “Website”). This policy adopts the standards required by PIPA and applies to personal information collected by or submitted to Executrend. 1.2 In this policy: (a) “personal information” means information about an identifiable individual, such as name, age, home address and home telephone number, marital status, income, education and employment information, but does not include “contact information”; (b) “contact information” means information that would enable an individual to be contacted at a place of business and includes name, position name or title, business telephone number, business e-mail and business fax number. Contact information is not covered by this policy or PIPA; (c) “Privacy Officer” means the individual designated responsibility for ensuring that Executrend complies with this policy and with PIPA; (d) “we”, “us”, “our” and words of similar import refer to Executrend, and “you” and “your” and words of similar import refer to customers of Executrend or users of the Website.

2. Collecting Personal Information 2.1 Unless the purposes for collecting personal information are obvious and the customer voluntarily provides his or her personal information for those purposes, we will communicate the purposes for which we collect personal information, either orally or in writing, before or at the time of collection. This policy and the Website are written communication of such purposes, and may be supplemented by other communication of our purposes in collecting personal information. 2.2 We will only collect your personal information that is necessary to fulfill the following purposes: (a) To register as a user of the Website and to manage your user account. Required information includes your name, a user-chosen login ID and password, your e-mail address, city, state and country of residence, current occupation, employment status. You may also provide an address, phone number, fax number, your motivation for using our services, the company you are associated with or working for. (b) To provide or allow you or other registered users make use of the services offered through the Website, which is to enable connections to be made and information to be shared between prospective employers and prospective job applicants or people seeking personal relationships. In addition to the information specified in the previous paragraph, this information includes a job applicant’s education and employment history, employment preferences, employer references, cover letters, a statement of hobbies and interests, resumés, photographs and videos, answers that you provide to questionnaires posted by other users of the Website, schedule information that you provide, and your responses to advertisements of other users of the Website. Further, prospective employers who use the Website will post questionnaires, schedule appointments, receive answers to questionnaires and responses to their job advertisements, e-mail job applicants, and within their account make comments for their own use about job applicants. (c) To provide us with general information to assist us in meeting the needs of the users of the Website and to improve the Website and the services offered at or through the Website or understand the needs, profiles and experiences of the users of the Website. (d) To assist us in operating, managing and improving the Website. You can visit the Website without registering as a user. However, whether or not a user registers for an account, certain information from all visitors to our website may be collected automatically, such as the internet protocol (IP) of the computer and the name of the internet service provider through which you are accessing the website, the type of browser and operating system you are using, and the address of the website that you visited before you visited the Website. If your web browser is configured to accept “cookies” (small pieces of information that our web server automatically places on the hard disk of the computer through which you access our website), we may place temporary or permanent cookies on that hard disk that store information about your preferences for accessing the website. Note that certain portions of the Website will not function unless your web browser is configured to accept cookies. (e) To contact our customers directly about products and services that may be of interest. (f) To respond to written requests received from users of the Website. (g) To use or disclose information as set out in the “Use and Disclosure of Information” section of this policy, below. 2.3 We do not knowingly solicit information from children or knowingly market our services to children. 2.4 In certain limited circumstances, PIPA permits collection of personal information about an individual without consent of that individual or from sources other than the individual. We reserve the right to collect such personal information in such manner to the full extent permitted by law.

3. Consent 3.1 We will obtain customer consent to collect, use or disclose personal information, except where, as noted below, we are authorized to do so without consent. 3.2 Consent is normally provided by choosing the “accept” or similarly worded boxes on the Website, but may be provided orally or otherwise in writing or through an authorized representative. In addition, consent can be implied where the purpose for collecting, using or disclosing the personal information may be considered obvious and the customer voluntarily provides personal information for that purpose. 3.3 Consent may also be implied where a customer is given notice and a reasonable opportunity to opt-out of his personal information being used for mail-outs or marketing of new services or products and the customer does not opt-out. 3.4 Subject to certain exceptions (for example, the personal information is necessary to provide our service or a product or the withdrawal of consent would frustrate a legal obligation), customers can withhold or withdraw their consent for Executrend to use their personal information in certain ways. A customer’s decision to withhold or withdraw their consent to certain uses of personal information may restrict our ability to provide a particular service or product. If so, we will explain the situation to help the customer make the decision. 3.5 In certain circumstances, PIPA allows the collection, use or disclosure of personal information without consent. See policies 2.4 above and 4.6 below.

4. Use and Disclosure of Information 4.1 Executrend will not sell, share, or rent your personal information in ways different from what is disclosed in this policy or elsewhere on the Website. 4.2 We will only use or disclose your personal information where necessary to fulfill the purposes identified at the time of collection, including without limitation the purposes specified above in Part 2 of this policy, or for a purpose reasonably related to those purposes such as: (a) We may disclose a customer's personal information to a person who, in the reasonable judgment of Executrend, is seeking the information as an agent of the customer. For example, we may provide information about a customer's account to the customer's legal representative if we are satisfied that that individual is requesting the information on behalf of the customer. (b) Customer informat ion may be shared among Execu trend business units to help us serve our customers better and to provide them with services that they have requested or which we think might be of interest. (c) We may disclose a customer's personal information to: (i) a company or individual engaged by Executrend to perform functions on its behalf, such as research or data processing; or (ii) an agent used by Executrend to evaluate the user’s credit worthiness or to collect the customer's account. 4.3 Users of the Website may specify whether the user’s profile appears on a publicly accessible portion of the Website. In addition, users of the Website may make personal information available through the Website privately to other users of the Website. In either case, if a third party (whether a member of the public or an automated computer program crawling the publicly accessible parts of the Website or another user of the Website who has privately received personal information) obtains your personal information, we cannot control and are not responsible the further use or disclosure, proper or improper, of your information by such third party. 4.4 Any disclosure of a user's personal information outside of Executrend by Executrend is made on a confidential basis with the information to be used only for the purpose for which it was disclosed. 4.5 We may disclose your information to third parties who acquire all or a substantial part of Executrend’s business, including by merger, amalgamation, a sale of our assets or bankruptcy. Subject to a court order, at the time of such merger, amalgamation, sale or bankruptcy, Executrend would contractually require any resulting entity that obtains your personal information to comply with its obligations under PIPA or similar applicable law regarding your personal information, including the provisions of this policy. 4.6 In certain limited circumstances, PIPA allows use or disclosure of personal information about an individual without consent of that individual. We reserve the right to use or disclose (or to use and disclose) your personal information without your consent as permitted or required by law.

5. Retaining Personal Information 5.1 If we use customer personal information to make a decision that directly affects the customer, we will retain that personal information for at least one year so that the customer has a reasonable opportunity to request access to it. 5.2 Subject to policy 5.1, we will retain customer personal information only as long as necessary to fulfill the identified purposes or a legal or business purpose.

6. Ensuring Accuracy of Personal Information 6.1 Given the nature of the Website, users of the Website are responsible to ensure that their personal information is accurate and complete where that personal information may be used to make a decision about the user or where the personal information may be disclosed to another organization. Executrend does not examine or investigate the accuracy or completeness of personal information posted by users. 6.2 Executrend provides you with the means to access, update, edit or delete your profile and account information at any time on your own by going to the Website and changing your profile or account information as desired. We ask you to regularly log into the Website to check your personal information and in particular your contact information to make sure that it is up to date. 6.3 For personal information held by Executrend that cannot be accessed by a user, customers may request correction to their personal information in order to ensure its accuracy and completeness. A request to correct personal information must be made in writing and provide sufficient detail to identify the personal information and the correction being sought. 6.4 If the personal information is demonstrated to be inaccurate or incomplete, we will correct the information as required and send the corrected personal information to each organization to which the personal information was disclosed by the organization during the year before the date the correction was made. If a correction is not made we will note the customer’s correction request in the file.

7. Securing Personal Information 7.1 We will take reasonable steps to protect customer personal information from unauthorized access, collection, use, disclosure, copying, modification or disposal or similar risks. 7.2 Security measures that we follow include: (a) the use of user IDs and passwords; (b) the use of computer firewalls; and (c) restricting employee access to personal information as appropriate. 7.3 All personal information destroyed or erased from our records is done so securely with due regard for the sensitivity of the information.

8. Access to Personal Information 8.1 Customers have a right to access their personal information., subject to limited exceptions as specified by law. 8.2 Normally, a customer will access their personal information through the Website. Where the Website cannot be used, a request to access personal information must be made in writing and provide sufficient detail to identify the personal information being sought. 8.3 Upon request, we will also tell customers how we use their personal information and to whom it has been disclosed if applicable. 8.4 We will make the requested information available within 30 business days or provide written notice of an extension where additional time is needed to fill the request. 8.5 A minimal fee may be charged for providing access to personal information. Where a fee may apply, we will tell the customer of the cost and request further direction from the customer on whether or not we should proceed with the request. 8.6 If a request if refused in full or in part, we will notify the customer in writing, providing the reasons for refusal and the recourse available to the customer.

9. Changes to Our Privacy Policy 9.1 Executrend reserves the right to change or supplement this policy at any time. If we make any material change to this policy, we will update the Website to include such changes and post a notice on our home page, for a period of 30 days, with a link to the updated policy. Please read any such notice and updated policy. 9.2 Your continued use of the Website after we post such notice will constitute your acceptance of the new terms and their application to your use of the Website and the personal information disclosed for such use, including personal information previously furnished to us, as if they were the initial terms, and your consent to the use of your personal information as described in this policy and elsewhere on the Website. 9.3 We will always seek your consent if we want to use your personal information for purposes other than those set out in this policy or to which you have previously agreed.

TERMS OF SERVICE AGREEMENT

1. Your Acceptance By using or visiting this website (collectively, including all content available through the Hirebreed.com domain name, the "Hirebreed.com Website" or "Website"), you signify your agreement with Executrend, Inc., the owner of the Website, to all of the following terms and conditions (the "Terms of Service”). You must agree to abide by all of the Terms of Service in order to become or remain an authorized user of the Service (as defined below). If you do not agree with the whole or any part of the Terms of Service, please do not visit or use the Hirebreed.com Website.

2. Definitions In this Agreement: “you” or “your” refers to the user of the Website and its related services, and as such you have gained the right to use the Website by respecting the applicable Terms of Service described in detail below; “E xecutrend” means Executrend , Inc, the exclusive owner and operator of the Hirebreed.com Website; "we", “our” and "us" means Executrend or any successor or assign of Executrend; “Service” refers to your use of the Hirebreed.com Website for any purpose whatsoever.

3. Overview This Terms of Service Agreement (the "Agreement") sets forth the terms and conditions that apply to your use of the Hirebreed.com Website and all services offered by Executrend. By completing the subscription process, you indicate your agreement to be legally bound by all of the terms and conditions in this Agreement. Please print and keep a copy of this Agreement for your records.

4. Changes to this Agreement We reserve the right, at any time, to change or modify these Terms of Service. Such changes will become effective upon notification, which we may effect by sending you notice by email and posting a revised Agreement on the Website, which you can access at any time using the "Terms of Service" link. If you do not agree to any changes or modifications, you should stop your use of the Service. Your continued use of the Service after notification of such a change or modification has been sent shall be deemed to constitute acceptance by you of any such changes or modifications. You agree to review this Agreement periodically to be aware of any such revisions.

5. Eligibility for Use / Responsibilities for Your Account 5.1 You must be 18 years of age or older to use the Website. By visiting the Hirebreed.com Website or accepting these Terms of Service, you represent and warrant to Executrend that: (a) you are 18 years of age or older; (b) you have the right, authority and capacity to agree to and abide by these Terms of Service; and (c) you will use the Website in a manner consistent with applicable law. 5.2 In order to access some features of the Website, you will have to create a Hirebreed.com account. When creating your account, you must provide accurate and complete information. 5.3 Your account is private and should not be used by anyone other than you, nor may you use another's account without our permission. You must keep your account password secure. You are responsible for all usage or activity on the Service by users using your password, including but not limited to use of your password by any third-party. You must notify Executrend immediately of any breach of security or unauthorized use of your account. 5.4 Although Executrend will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Executrend or others arising from such unauthorized use.

6. Right To Use, Termination of Access to Service, and Discontinuance of Service 6.1 Your right to use the Service is subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. We may also impose limits on certain features and aspects of the Service or restrict your access to parts or all of the Service without notice or liability. 6.2 We may, in our sole discretion, terminate or suspend your access to all or part of the Service at any time, with or without notice, for any reason, including, without limitation, breach of this Agreement. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or that may otherwise affect the enjoyment of the Service or the Internet by others may be grounds for termination of your access to all or part of the Service at our sole discretion, and you may be referred to appropriate law enforcement agencies. 6.3 We may alter, suspend or discontinue any aspect of the Service at any time, including the availability of any Service feature, database or content, without notice or liability. 6.4 You acknowledge that we are not responsible for interruption or suspension of the Service, regardless of the cause of the interruption or suspension.

7. Privacy of Information 7.1 You agree to abide by the Executrend, Inc. Privacy Policy, a copy of which is accessible from the home page of the Website. 7.2 Users of the Website who access, download, print or copy personal information provided by other users of the Website shall comply with this Agreement and all applicable law regarding collection, use and disclosure of that personal information. 7.3 In addition to matters covered in our privacy policy, we reserve the right: (a) to send electronic mail to you, for the purpose of informing you of changes or additions to the Service, or of any Executrend related products and services; and (b) to disclose information about your usage of the Service and demographics in forms that do not reveal your personal identity.

8. Code of Conduct 8.1 You agree to use the Service in accordance with the following Code of Conduct: (a) you will keep all information provided to you through the Service as private and confidential and will not give such information to anyone without the permission of the person who provided it to you; (b) you will not use the Service to engage in any form of harassment or offensive behavior, including but not limited to the posting of communications, pictures or recordings which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language; (c) you will not forward chain letters through the Service; (d) you will not use the Service to infringe the privacy rights, property rights, or any other rights of any person; (e) you will not post messages, pictures or recordings or use the Service in any way which (i) violates, plagiarizes or infringes upon the rights of any third-party, including but not limited to any copyright or trade-mark law, privacy or other personal or proprietary rights, or (ii) is fraudulent or otherwise unlawful or violates any law; (f) you will not use the Service to distribute, promote or otherwise publish any material containing any solicitation for funds, advertising or solicitation for goods or services; (g) you will not use the Service to distribute or up load any virus, trojan horses or do anything else that might cause harm to the Service, Executrend’s systems or to other members' systems in any way; and (h) you will not post or transmit in any manner any contact information including, but not limited to, email addresses, "instant messenger" nicknames, telephone numbers, postal addresses, URLs, or full names through your publicly posted information.

9. Proprietary Information The Service contains information that is proprietary to us, our partners, and our users. We assert full copyright protection in the Service. Information posted by us, our partners or users of the Service may be protected whether or not it is identified as proprietary to us or to them. You agree not to modify, copy or distribute any such information in any manner whatsoever without having first received the express written permission of the owner of such information.

10. Monitoring and Removal of Information 10.1 We reserve the right to monitor all advertisements, public postings and messages to ensure that they conform to content guidelines as we establish from time to time. The content guidelines are subject to change without notice. 10.2 Executrend does not permit activities on the Website that infringe copyright or intellectual property rights of Executrend or, to the knowledge of Executrend, others. While we do not and cannot review every message, submission, or other material posted or sent by users of the Service, and are not responsible for any content of these messages or materials, we reserve the right, but are not obligated, to delete, move, or edit messages or materials, including without limitation profiles, public postings and messages, that we, in our sole discretion, deem to violate the Code of Conduct set out above or any other applicable content guidelines, or to be otherwise unacceptable. You shall remain solely responsible for the content of profiles, public postings, messages and o ther materials you may upload to the Service or users of the Service.

11. Alerting Us to Claims of Copyright Infringement If you believe that any material or content distributed by Executrend constitutes copyright infringement, please provide us with the following information: an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; a description of the copyrighted work that you claim has been infringed; a description of where the material that you claim is infringing is located on our website; your address, telephone number and email address; a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. A notice containing all the above should be sent to [proprietaryconcerns]@Hirebreed.com.

12. User Submissions 12.1 The Hirebreed.com Website may now or in the future permit the submission of documents, photographs, videos or other communications submitted by you and other users (“User Submissions”) and hosting, sharing, and publishing of User Submissions. 12.2 You understand that whether or not User Submissions are published, Executrend does not guarantee any confidentiality with respect to any submissions. 12.3 You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and warrant that: (i) you own or have the necessary licenses, rights, consents, or permissions to use and authorize Executrend to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service; and (ii) you have written consent, release or permission of identifiable person to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service. 12.4 For clarity, you retain all of your ownership rights in your User Submissions. However, by using the Hirebreed,com Website, you hereby grant Executrend a worldwide, non-exclusive, royalty free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform User Submissions in connection with the Hirebreed.com Website and Executrend’s business, including without limitation for promoting and redistributing part or all of the Hirebreed.com Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Hirebreed.com Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The foregoing licenses granted by you terminates once you remove or delete a User Submission from the Hirebreed.com Website. 12.5 In connection with User Submissions, you further agree that you will abide by the Code of Conduct articulated above, including but not limited to: (i) material that is copyrighted, protected by trade secret or otherwise subject to third-party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Executrend all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage Executrend or the Website or any third-party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or would encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business; and (v) impersonate another person. 12.6 Executrend does not endorse any User Submission or any opinion, recommendation, or advice expressed in any User Submission, and Executrend expressly disclaims any and all liability in connection with User Submissions. 12.7 You understand that when using the Hirebreed.com Website, you will be exposed to User Submissions from a variety of sources, and that Executrend is not responsibility for the accuracy , usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Executrend with respect thereto, and agree to indemnify and hold Executrend, and its officers, directors, employees, agents and third-party content providers or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the Website. 12.8 Executrend permits you to link materials on the Website for personal, non-commercial purposes only. In addition, Executrend provides an “Embeddable Player” feature, which you may incorporate into your own personal, non commercial websites for use in accessing the materials on the Website, provided that you include a prominent link back to the Hirebreed.com Website on the pages containing the Embeddable Player.

13. No Responsibility for Third Party Websites 13.1 The Service may from time to time contain links to other Internet sites and resources ("External Links"). Executrend has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites accessed through External Links. In addition, Executrend will not and cannot censor or edit the content of any third-party website. By using the Website, you acknowledge that we are not responsible for, and have no liability as a result of External Links or their contents. You expressly release Executrend from all liability arising from your use of External Links or any third-party website. 13.2 Accordingly, we encourage you to be aware when you leave the Hirebreed.com Website and to read the terms and conditions and privacy policy of any third-party website that you visit.

14. Disclaimer of Warranties 14.1 You understand and agree that you use the Hirebreed.com Website and its related services at your own risk. The Website and all services provided by Executrend are provided on an "as is" basis. Executrend expressly disclaims all representations and warranties of any kind, whether express or implied, including but not limited to warranties of title, non-infringement, or implied warranties of merchantability or fitness for a particular purpose, other than those warranties which are incapable of exclusion under law. 14.2 Executrend provides on-line job seeking services and tools to employers, prospective employees and other similarly interested individuals, as well as forums for discussion and commentaries to subscribers through the Hirebreed.com Website and other means of distribution. Executrend does not guarantee the accuracy, completeness, or timeliness of, or otherwise endorse any information contained on the Website. Moreover, because of the number of sources from which content distributed by Executrend is obtained or for other reasons, there maybe delays, omissions or inaccuracies in such content. We do not represent or endorse the accuracy or reliability of any member profile, advice, opinion, statement or other information displayed, uploaded or distributed through the Service by Executrend, our partners or any user of the service or any other person or entity. You acknowledge that any reliance upon any such opinion, member profile, ad vice, statement or information shall be a t your sole risk. 14.3 The Website is controlled and offered by Executrend from its facilities in Vancouver, British Columbia, Canada. Executrend makes no representations that the Hirebreed.com website is appropriate or available for use in other locations. Those who access or use the Hirebreed.com Website from other jurisdictions do so at their own volition and are responsible for compliance with local law.

15. Limitation of Liability 15.1 You hereby acknowledge and agree that under no circumstances will Executrend, its officers, directors, employees, agents and third-party content providers or licensors be responsible or liable to you or any third-party for any loss or damage whatsoever caused by your use or reliance on information obtained through the content distributed by Executrend or for any direct, indirect, incidental, special, punitive or consequential damages or injury (including personal injury and death) arising out of the use or inability to use the Service or any other services of Executrend or out of the breach of any warranty, or caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to or alteration of the Hirebreed.com Website, no matter whether such claims are based in contract, tort, negligence, strict liability or any other cause of action or theory of liability, and regardless of whether Executrend has been advised of the possibility of such damages or injury. 15.2 Some jurisdictions limit the availability of such limitation of liability, in which case the provisions of this section may not apply to you. Notwithstanding the foregoing, in no event shall our liability to any person or entity exceed the sum of $100.00 U.S. dollars.

16. Indemnity In addition to the indemnity provided by you in section 12.7 above, you hereby agree to indemnify, defend and hold harmless Executrend, and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees of or to Executrend (collectively, the "Indemnified Parties") from and against any and all liability and costs, including, without limitation, reasonable attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this Agreement or the representations, warranties and covenants contained in this Agreement. You shall cooperate as fully as reasonably required in the defense of any such claim. Executrend reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

17. Miscellaneous 17.1 This Agreement represents the entire agreement between you and Executrend regarding the use of our services and the Website and supersedes any other agreement or understanding on the subject matter. 17.2 This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed exclusively by the laws of the Province of British Columbia, Canada. The parties agree that any action, suit or proceeding arising out of or related to this Agreement shall be commenced in Vancouver, British Columbia, or, if no jurisdiction exists, in the Province of British Columbia. Each party hereby agrees to submit to the jurisdiction of the courts of British Columbia and to waive any objections based on venue in any action, suit or proceeding. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. 17.3 As a condition of using the Service, each user agrees that any and all disputes and causes of action arising out of or connected with the Service or the Hirebreed.com Website that cannot be settled amicably shall be resolved through arbitration pursuant to the Commercial Arbitration Act (BC), with such arbitration to be held in English in Vancouver, British Columbia, Canada. 17.4 Additionally, except where prohibited by law, as a condition of using the Service, you agree that any and all disputes and causes of action arising out of or connected to the Service shall be resolved individually, without resort to any form of class action. You also agree that regardless of any statute or law to the contrary, any claim or cause of action arising from or related to the use of the Service must be filed within one year after such claim or cause of action arose or be forever barred. 17.5 The failure of any party to this Agreement to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. 17.6 If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and be enforceable. 17.7 This Agreement is not assignable, transferable or sublicensable by you without the prior written consent of Executrend. Executrend may assign, transfer or sublicense this Agreement in whole or in part without restriction. 17.8 No agency, partnership, joint venture, or employment is created as a result of this Agreement. 17.9 Headings are for convenience only and have no legal or contractual effect. 17.10 All notices under this Agreement shall be in writing and shall be deemed to have been duly given when receipt is electronically confirmed, if transmitted by facsimile or email or upon receipt, if sent by certified or registered mail, return receipt requested.

18. By accepting these terms you grant Executrend Inc permission to send you promotional materials. Executrend will not sell your email information to any third parties.

19. By accepting these terms you grant Executrend Inc permission to cross post any ads placed on Hirebreed.com.
